Brian Beglin is a principal in Bingham Consulting providing global companies strategic and public policy advice on cross-border and multijurisdictional matters. Brian is also co-managing partner of the Beijing office of Bingham McCutchen, practicing general business and corporate law with an emphasis on mergers and acquisitions, licensing, corporate finance, and joint ventures.

Brian’s mergers and acquisitions experience covers a broad range of industries, including technology, biopharmaceuticals, financial services and basic manufacturing.

Brian’s corporate finance practice includes public offerings and private placements of debt and equity securities, going private transactions, licensing, joint ventures, and global securities offerings, including cross-border PIPES. Brian also structures minority investments in business enterprises, representing both issuers and investors.

Having worked on cross-border transactions in the U.S., Asia and Europe for more than 30 years, Brian worked in New York and Tokyo before transferring to Beijing.

Brian is co-chair of Bingham’s Life Sciences Industry Group and is recommended by PLC Which Lawyer? Yearbooks 2006-2011 (formerly Global Counsel 3000) for corporate and commercial transactions in the life sciences area.

  • Represented a Japan-based private equity fund in acquiring the Japanese subsidiary of a bankrupt U.S. parent in a §363 sale
  • Represented the lead investors in a PIPE offering by an English NASDAQ-listed issuer
  • Represented the secured creditors committee in the corporate reorganization and sale of Spansion in Japan
  • Represented a NYSE-listed foreign private issuer in a merger with a U.K. public company
  • Represented biopharmaceutical companies in various M&A, product development and license agreements
  • Represented a minority investor in an offshore entity formed to develop oil fields in the Caucasus
  • Represented a U.S. telecom company in a roll-up and simultaneous listing on the AIM in London
  • Represented a Japanese trading company in various M&A and venture capital activities
